RIN CONFIDENTIALITY AGREEMENT

You are being invited by John Mollett Productions LLC (“JMP”) to review confidential and proprietary information relating to RIN, a business and charitable initiative currently being developed by JMP and its founder.

The information made available to you may include RIN’s proposed business model, creative concepts, programming ideas, brand strategy, nonprofit initiative, financial plans, corporate structure, potential partnerships and collaborators, intellectual property, and other non-public information (collectively, “Confidential Information”).

By signing this Agreement, you agree to keep the Confidential Information confidential and to use it solely for the purpose of evaluating, advising on, discussing, or potentially participating in RIN.

CONFIDENTIALITY

You agree not to disclose, share, reproduce, distribute, publish, or otherwise make Confidential Information available to any other person or organization without the prior written consent of John Mollett Productions LLC.

You will take reasonable steps to protect the Confidential Information from unauthorized use or disclosure.

LIMITED PURPOSE

Confidential Information may be used only for evaluating, discussing, advising on, or considering a potential relationship with RIN.

Nothing disclosed may be used for your own commercial purposes or for the benefit of another person, company, organization, or project.

POTENTIAL COLLABORATORS & CONCEPTS

Names, relationships, potential collaborators, talent, partners, programming concepts, and other opportunities identified in the RIN presentation are Confidential Information.

You agree not to contact, solicit, approach, or communicate with any such person or organization regarding RIN or any opportunity disclosed through the presentation without the prior written consent of John Mollett Productions LLC.

NO RECORDING OR DISTRIBUTION

The RIN presentation and related materials may not be copied, photographed, screen-recorded, downloaded, forwarded, published, distributed, or otherwise reproduced without prior written consent from John Mollett Productions LLC.

WHAT IS NOT CONFIDENTIAL

Confidential Information does not include information that you can demonstrate:

• was publicly available at the time it was disclosed;

• becomes publicly available through no breach of this Agreement;

• was already lawfully known to you before disclosure; or

• was independently developed or lawfully obtained from another source without a confidentiality obligation.

NO COMMITMENT

Reviewing the RIN presentation does not create an employment, advisory, partnership, investment, joint venture, or other business relationship between you and JMP or RIN.

Nothing contained in the presentation constitutes an offer or solicitation to buy or sell securities.

Any future relationship, investment, collaboration, or transaction would be subject to separate agreements and applicable legal requirements.

DURATION

Your confidentiality obligations under this Agreement will continue for three (3) years from the date you sign it.

Any information qualifying as a trade secret will remain protected for as long as it continues to qualify for protection under applicable law.

ELECTRONIC AGREEMENT

By signing electronically, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms. Your electronic signature will have the same force and effect as a handwritten signature.
